Please read these Terms carefully. Section 27 includes an agreement to resolve disputes through individual arbitration and a waiver of class actions, unless you opt out as described there.
1. Who we are and accepting these Terms
1.1. These Terms of Service ("Terms") are an agreement between you and Prima Services LLC, a Florida limited liability company doing business as Prima Offices ("Prima Offices," "we," "us," "our"), located at 2125 Biscayne Blvd, Miami, FL 33137.
1.2. These Terms govern your use of our virtual office, mail handling, phone number, meeting space and related services (the "Services"), and of our website and the customer account we provide (together, the "Platform").
1.3. You accept these Terms by checking the box at signup. If you're not sure, don't check it: read them first, or ask us at legal@primaoffices.com. Our Privacy Policy explains how we handle personal information. If you don't agree to these Terms, don't use the Services.
1.4. If you accept these Terms for a company or other organization, you confirm you're authorized to bind it, and "you" means that organization. The person who accepts stays personally responsible for their own conduct, for the accuracy of the information they give us and for their own Form 1583, but doesn't personally guarantee the organization's fees unless they agree to that separately.
2. Definitions
- Account: your customer account on the Platform.
- Address: 2125 Biscayne Blvd, Suite 300, Miami, FL 33137, together with the mailbox number we assign to you, written as "#" followed by the number (for example, Suite 300 #1234). Where a form doesn't accept "#", you may write "PMB" (private mailbox) followed by the number.
- Mail: letters, flats, documents, packages and any other item delivered to us for you, by USPS or any other carrier.
- Recipient: each person and company authorized to receive Mail at your Address, as listed on a USPS Form 1583.
- Plan: the subscription plan you choose (currently Address, Business or Executive), as described on our pricing page and in your Account when you sign up or change plans.
- Extras: services beyond what your Plan includes, such as forwarding postage, scans and shredding beyond what your Plan includes (except free scans of court and government mail under section 8.4), and storage after the free period.
3. Our services
3.1. Depending on your Plan, the Services may include:
- Use of the Address for your business correspondence
- Receipt of Mail and, on Plans that include it, packages
- A photo of the outside of each item, posted to your Account
- Opening and scanning of Mail at your request
- Forwarding, holding for pickup, or shredding of Mail, as you instruct
- A Miami phone number with call forwarding
- Check deposits
- Meeting room hours and access to bookable offices
- A proof-of-address service agreement
- Online notarization of USPS Form 1583 through a third-party notary provider
3.2. Your Plan description shows what your Plan includes and its limits. These Terms apply to every Plan. If your Plan description and these Terms conflict, these Terms control, except for what your Plan includes and its price.
3.3. We run your Account through Innbocks, a third-party software platform that records your Mail, sends your notifications and stores your scans. Innbocks doesn't handle physical Mail. Our staff at 2125 Biscayne do. Some Services, such as online notarization, payment processing and phone service, are provided with third-party providers. Their terms may also apply, and we'll show them to you when they do.
3.4. We may add, change or stop offering features or Services. If we remove something that's included in your Plan, we'll give you at least 30 days' notice by email. If the change materially reduces your Plan, you may cancel and receive a refund of the unused part of any period you've prepaid.
3.5. We don't provide legal, tax, immigration, banking or accounting advice. Nothing on the Platform or from our staff is such advice.
4. Eligibility
To use the Services, you must:
- Be at least 18 years old and able to enter into a binding contract
- Not be a person or company that U.S. law prohibits us from doing business with, including anyone on a U.S. government sanctions list (such as the Office of Foreign Assets Control's Specially Designated Nationals list), or anyone located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions
- Not have had an Account with us terminated for breaching these Terms, unless we agree otherwise in writing
We check every Account Owner, Recipient and company against U.S. sanctions lists when you sign up and from time to time after that. We may ask for more information, and we may refuse or end service when sanctions law requires it.
5. USPS Form 1583, identity verification and approval
5.1. We act as your mail agent. We operate as a Commercial Mail Receiving Agency ("CMRA") under U.S. Postal Service rules. USPS requires that every Recipient authorize us to receive Mail on their behalf by completing USPS Form 1583.
5.2. What you must do. Before we can receive Mail for you:
- Each Recipient (each person and each company) must be listed on a completed USPS Form 1583, signed and verified the way USPS requires, which today means before a notary or, where USPS allows, verified by us in person or by live video. Online notarization is included in every Plan.
- Your Form 1583 must include the address where Mail should be sent after your service ends (your "remail address"). See section 22.
- You must provide two valid, current forms of identification for each person signing, at least one with a photo, in the forms USPS accepts.
- You must complete any additional identity, ownership or business verification we reasonably request, including for anti-fraud, anti-money-laundering or sanctions-compliance purposes.
5.3. Approval. We decide whether to approve your application, and we may refuse it, without giving a reason where the law allows. Until your Form 1583 is approved, you must not direct Mail to the Address. Mail that arrives before approval, or for anyone not listed on an approved Form 1583, may be returned to the sender as USPS rules require.
5.4. Keeping it current. You must tell us within 3 business days if any information on your Form 1583 or in your Account changes, and complete a new Form 1583 if USPS requires one, including when USPS changes the form. You must also respond within 3 business days to any reasonable request we make to verify your information. If you don't, we may suspend your Account until you do.
5.5. Records and inspection. We keep Form 1583 and the identification provided for as long as USPS requires, and we provide them to USPS on request.
6. Using your Address
6.1. Use the full address. Always use your Address exactly as shown in your Account, including your mailbox number, wherever you publish or give it. Mail without your mailbox number may not be matched to your Account and may be returned to sender.
6.2. Don't misrepresent your presence. You may not present the Address as a place where your business is open to the public or where you can be visited without an appointment made through us. You may not create a listing for the Address on Google Business Profile, Apple Maps, Yelp or any similar map or directory service that presents it as your physical business location.
6.3. Registered agent. We don't provide registered agent services. You may not name Prima Offices, our staff or the Address as your registered agent with any state or other authority.
6.4. Legal papers. We aren't your registered agent, and we don't agree to accept service of process for you. Florida law may still let a process server leave legal papers for you with our staff if the Address is the only address for you in public records (section 48.031(6), Florida Statutes). If legal papers for you are left with us or arrive by mail, we'll post a photo and a free scan to your Account and email you, generally the same business day or the next one, and then follow your instructions. Keep a current address in public records where you can be reached, and check your Account and email often. Beyond handling papers as this section describes, we aren't responsible for the consequences of papers delivered or attempted at the Address.
6.5. Acceptance by third parties. Whether a bank, payment provider, government agency, licensing authority, lender or anyone else accepts the Address depends on their own rules and on local law. We don't guarantee that any third party will accept it. Check with them before you rely on it.
6.6. No reselling. You may not resell, sublet, share or otherwise provide the Address or the Services to anyone who isn't a Recipient listed on your Account, unless we agree in writing.
6.7. After your service ends. When your service ends for any reason, you must stop using the Address and remove it from your website, documents, listings and filings within 30 days. Section 22 explains what happens to Mail that keeps arriving.
7. Your account and security
7.1. You're responsible for keeping your login details confidential and for all activity in your Account, including activity by anyone you give access to.
7.2. If you suspect unauthorized access to your Account, tell us immediately at legal@primaoffices.com.
7.3. The person who opens the Account (the "Account Owner") is responsible for all Recipients and users on it and for all charges they incur.
8. How we handle your Mail
8.1. Receiving. We receive Mail on business days (Monday to Friday, excluding U.S. federal holidays) during our posted business hours. We accept registered, certified, insured and signature-required items when someone authorized can sign for them. You instruct us, as your agent, to refuse cash-on-delivery (COD) items and items that require us to pay postage, duties or fees on delivery, unless you've prepaid them through your Account.
8.2. Addressing. Mail must be addressed to a Recipient by the name shown on their approved Form 1583, or a name we can reasonably identify as theirs. We may return to sender any item we can't confidently match to a Recipient.
8.3. Photos and notifications. We photograph the outside of each item and post it to your Account promptly. Notifications are sent through the Platform and by email, and depending on your settings, by WhatsApp or text message.
8.4. Opening and scanning. We open and scan an item only when you ask, or as described in section 8.6. By requesting a scan, you authorize us to open that item and scan its contents, including content that may be confidential, personal, financial, medical or otherwise sensitive. We may decline to scan items we reasonably consider unlawful or obscene, and payment cards, PINs or similar security items. In those cases we'll ask how you'd like the item handled. Mail that appears to come from a court or a government agency is opened and scanned at no charge on every Plan when you ask.
8.5. Advertising mail. You authorize us to recycle obvious advertising mail (USPS Marketing Mail, flyers and catalogs) after we've posted its photo to your Account, unless you ask us to keep it.
8.6. Damaged or suspicious items. You authorize us to open and inspect any item that arrives damaged, leaking or suspicious, to protect people and property. We may refuse, isolate or hand over to authorities any item we reasonably believe is dangerous or unlawful.
8.7. Your instructions. We follow the instructions you give through your Account. You're responsible for those instructions and their costs. Shredded or recycled items can't be recovered. Requests to forward, shred or otherwise process Mail are final once we've acted on them.
8.8. Storage. We store letters and flats free for 30 days after we notify you of them. Packages are stored free for 14 days on the Business Plan and 30 days on the Executive Plan, or 7 days for packages larger than 12 × 12 × 12 inches. We'll remind you in your Account and by email before the free period ends. After it ends, storage costs $1 per letter or flat per day and $2 per package per day, for up to 30 days. Section 9 explains what happens after that, and storage fees stop when we act under section 9.
8.9. Packages. The Address Plan is for letters and flats. If a package arrives for you by USPS, we'll accept it as USPS rules require, at no charge, with 7 days of free storage. If more than 2 arrive for you in a month, we may ask you to move to the Business Plan. You instruct us to refuse packages from other carriers while you're on the Address Plan. The Business Plan includes up to 5 packages a month and the Executive Plan up to 15. Packages may weigh up to 25 lb and measure up to 24 inches on the longest side. Packages of 25 to 50 lb are accepted only if you tell us in advance, for a $10 handling fee. We refuse items over 50 lb, pallets, freight and multi-box shipments, and anything we can't reasonably store or handle.
8.10. Not a warehouse. The Services are for business correspondence, not commerce logistics. You may not use the Address to receive inventory, dropshipped goods, marketplace or e-commerce returns, or goods for resale, or to receive items for anyone not listed on your approved Form 1583. If you exceed your package limit in two consecutive months, or we reasonably believe the Address is being used this way, we may require you to upgrade, refuse further packages, or end your service under section 21.3.
8.11. Misdelivered mail. Mistakes can happen, and an item or scan meant for someone else could appear in your Account. If that happens, tell us right away and don't open, read, copy, use or share it. If your Mail is mistakenly placed in another customer's Account, we'll fix it as soon as we find out and tell you.
8.12. Care and limits. We handle Mail with reasonable care. We aren't responsible for:
- Mail lost, delayed or damaged before it reaches us, or after we hand it to a carrier for forwarding
- Mail for which we have no record of receipt
- The contents, condition or value of sealed items
- Cash, gift cards, jewelry or other valuables, which you must not have sent to the Address
- Perishable, fragile or special-handling items, unless we agreed to them in writing in advance
9. Unclaimed mail
9.1. If you don't pick up, forward or give instructions for an item during its free storage period and the paid storage period in section 8.8, we'll email you a final notice listing the items at least 10 days before we act.
9.2. If you still don't give instructions, we may then:
- Letters and documents: securely shred them, or return them to the sender with new postage, which we'll charge to you. Before shredding anything that appears to come from a court, a government agency or a bank, we'll scan it to your Account at no charge.
- Packages: return them to the sender at your cost where possible, or otherwise dispose of them, donate them or hand them to the authorities, as the law allows.
9.3. Fees for storage, return postage and disposal are Extras, and unpaid amounts are handled under section 16.6.
9.4. Scans and photos stay available in your Account while it's active. Section 22 explains what happens to them after your service ends.
10. Forwarding and shipping
10.1. When you request forwarding, we'll show you the full cost, including carrier postage and any handling fee, before you confirm.
10.2. Once we hand an item to a carrier, the carrier is responsible for it. Claims for loss, damage or delay in transit must be made under that carrier's terms. We'll provide tracking and any documents we have to support your claim.
10.3. International shipments. You're the exporter and importer of record for anything we forward outside the United States. You're responsible for the accuracy of customs information, for complying with U.S. export and sanctions laws and the import laws of the destination, and for paying all duties, taxes and fees. We may refuse to forward any item we reasonably believe can't lawfully be shipped to its destination.
10.4. USPS rules may require your Form 1583 to reflect where your Mail is forwarded. You're responsible for keeping it current.
11. Phone number and call forwarding
This section applies if your Plan includes a phone number.
11.1. We assign you a Miami phone number for use while your service is active. The number is provided by our phone service provider and remains under our control. The number can't be transferred ("ported") to another provider, including when your service ends. When your service ends, the number may be reassigned after a reasonable period.
11.2. Calls to your number are forwarded to the phone number you choose in your Account, for up to 200 minutes a month. Unused minutes don't carry over. When you don't answer, or after the 200 minutes, callers can leave a voicemail, and we email it to you.
11.3. Forwarding to phones outside the United States depends on the carriers involved and may not work for every country. We may limit forwarding to protect the service from misuse.
11.4. We aren't responsible for business lost because of missed, dropped or poor-quality calls, forwarding failures or voicemail errors. The service isn't an emergency service and can't be used to reach 911.
11.5. You may not use the number for unlawful, deceptive or abusive purposes, including telemarketing, robocalls or impersonation. You're responsible for any legal requirements that apply to your calls, including any notices callers must receive.
11.6. We don't record calls. A voicemail is recorded only when a caller chooses to leave one after the greeting.
12. Meeting rooms and offices
12.1. Meeting rooms, private offices and other spaces at 2125 Biscayne are subject to availability and are booked through us. Booking rules, including cancellation deadlines, are shown when you book.
12.2. Executive Plans include meeting room hours each month. Unused included hours roll over while your Executive Plan stays active. They have no cash value and end when you cancel or downgrade.
12.3. While on site, you and your guests must follow building rules and our staff's reasonable instructions. You're responsible for your guests and for any damage they or you cause. We may end a booking, without refund, if anyone in your party behaves in an unsafe, unlawful or abusive way.
12.4. Using a meeting room or office doesn't create a lease, tenancy or any other interest in the property.
13. Check deposits
This section applies if your Plan includes check deposits. On other Plans, a check that arrives for you is handled like any other Mail: we photograph the envelope, and you can ask us to scan it, forward it under section 10 or hold it for pickup.
13.1. Your request. To use this service, you request each deposit in your Account, choose the bank account it goes to and confirm that the check is payable to that account's holder. Each request authorizes us, as your agent, to endorse that check "For deposit only" to the account you chose and to mail it to your bank for deposit.
13.2. Only your own account. We deposit a check only into a U.S. bank account in the name of the Recipient the check is payable to. We may ask for a bank letter or statement to confirm it. We don't deposit into anyone else's account.
13.3. How we deposit. We deposit by mail. You give us your bank's routing and account numbers and its deposit-by-mail address, which you should confirm with your bank. We endorse the check, post a photo of the endorsed back to your Account, and mail it with a deposit slip to that address, with tracking when available. We never ask for, store or use your online banking login. Once mailed, the check is in the carrier's hands, and your bank posts the funds only after it receives and processes the check.
13.4. How many, and checks we may decline. Your Plan includes the number of deposits a month shown in your Plan description. Beyond that, or for any check that looks altered, fraudulent, stale or post-dated, is drawn on a bank outside the United States, is payable to someone other than a Recipient, or is over $25,000, we may decline to deposit it and we'll ask how you'd like it handled instead.
13.5. Your bank decides. Your bank decides whether to accept a deposit, how long funds are held and whether a check is returned. We aren't responsible for those decisions, for returned checks or for fees your bank charges. If a check is lost after we receive it, we'll tell you right away and help you ask the issuer for a replacement, and section 25 applies.
14. Proof-of-address service agreement and notarization
14.1. On Plans that include it, we provide a service agreement confirming that you subscribe to our Services at the Address. It describes your actual relationship with us accurately. It doesn't state that you lease or occupy office space unless that's true.
14.2. Online notarization is performed by an independent, commissioned notary through a third-party provider. The notary, not Prima Offices, is responsible for the notarial act, and that provider's terms apply.
15. Prohibited uses and items
15.1. You may not use the Services to:
- Break any law, or receive Mail connected to illegal activity
- Commit fraud, misrepresent who you are, impersonate anyone or conceal who is behind a business
- Evade taxes, creditors, court orders, law enforcement or other legal obligations
- Launder money, finance terrorism or violate sanctions laws
- Send spam, operate scams, or run businesses we reasonably consider high-risk for fraud
- Harass, threaten or abuse our staff, other customers or anyone else
15.2. You may not have any of the following sent to the Address: hazardous materials (including flammable items, aerosols, and loose or damaged lithium batteries); live animals or insects; perishable or refrigerated items; alcohol, tobacco or vaping products; cannabis or THC products; firearms, ammunition, explosives or weapon parts; cash, gift cards, coins or precious metals; prescription or controlled drugs; biological samples or human remains; counterfeit or illegal goods; or anything USPS or carriers prohibit. We may refuse, return or hand such items to the authorities, and you're responsible for any resulting costs.
15.3. You may not misuse the Platform, including by attempting to access other customers' data, interfering with its operation, scraping it, or reverse engineering it.
16. Fees, billing and renewal
16.1. Plan fees are charged in advance at the start of each billing period, monthly or annually, as you choose. Annual Plans are priced at 10 months of the monthly fee (2 months free).
16.2. Automatic renewal. Your Plan renews automatically at the end of each billing period for the same length of period (one month or one year), at the price then in effect, and we charge your payment method on file on the renewal date, until you cancel. You can cancel any time from your Account, with no call or letter needed. Cancelling stops the next renewal, and your service continues until the end of the period you've paid for. If you're on an annual Plan, we'll email you between 30 and 60 days before it renews, with the renewal date, the price and how to cancel.
16.3. Extras are charged at the rates shown in your Account. For forwarding, you'll see the full cost before you confirm.
16.4. Taxes. Prices are in U.S. dollars and don't include taxes. Applicable taxes are added at checkout. You're responsible for any taxes, duties and government fees related to your use of the Services.
16.5. Payment method. You authorize us and our payment processor to charge your payment method for all fees you incur. Keep your payment details current.
16.6. Failed payments. If a payment fails, we'll notify you and may retry the charge. If it isn't paid within 7 days, we may suspend the Services, including holding your Mail, until it's paid. If it isn't paid within 30 days, we may end your service under section 21. Amounts you owe remain due after your service ends.
16.7. Chargebacks. If you think a charge is wrong, contact us first at legal@primaoffices.com and we'll work with you to resolve it. If you file a chargeback for a charge that was valid, we may suspend your Account and recover the amount and any fees the chargeback costs us.
16.8. Price changes. Annual Plans keep their price for the year you've paid. We may change monthly prices, and the price of an annual Plan at renewal, with at least 30 days' notice by email. You can cancel before the new price applies.
17. Refunds
17.1. You can request a refund of your first Plan payment within 30 days of making it, by contacting us at legal@primaoffices.com or through your Account.
17.2. Postage and carrier charges we've already paid on your behalf, and Extras already provided, aren't refundable.
17.3. Other payments aren't refundable, except where these Terms say otherwise (sections 3.4, 21.4 and 23.2) or the law requires a refund.
18. Your data and privacy
18.1. We handle your personal information as described in our Privacy Policy. In short:
- We collect what we need to provide the Services, to verify identity and to meet USPS and other legal requirements.
- Innbocks and our other service providers process your data on our behalf.
- You can ask to access, correct or delete your data. We'll keep what USPS or the law requires us to keep, such as Form 1583 records.
- We'll notify you of a data breach as the law requires.
18.2. Depending on where you live, you may have additional rights under laws such as the EU and UK GDPR, Canada's PIPEDA or Brazil's LGPD. Our Privacy Policy explains how to exercise them.
18.3. By using the Services, you confirm that you have any permissions needed for us to handle the personal information of other people that appears in your Mail or that you give us, such as other Recipients' details.
19. Cooperation with authorities
19.1. We cooperate with the U.S. Postal Inspection Service, and we may share information about you and your use of the Services when USPS asks for it.
19.2. We share information with other authorities when we receive valid legal process, such as a subpoena or court order. Where the law allows, we'll tell you before we do.
19.3. If we reasonably suspect fraud or illegal activity, we may suspend your Account, hold your Mail, and report the matter and share relevant information with law enforcement.
19.4. If U.S. sanctions law requires us to block (freeze) property in which a sanctioned person has an interest, including Mail, we'll do so and report it to the U.S. Treasury as the law requires. We can't release blocked property without government authorization.
20. Electronic communications and our AI assistant
20.1. Electronic notices. You agree that we may give you notices, disclosures and other communications electronically, by email to your Account email or in your Account. They satisfy any legal requirement that a communication be in writing. You can ask for a free paper copy of any notice at legal@primaoffices.com. Keep your email current.
20.2. Texts and WhatsApp. If you give us a mobile or WhatsApp number and turn on those notifications, we'll send Mail notifications and account messages there. Message and data rates may apply. Reply STOP to stop texts, or change your settings in your Account.
20.3. Marketing. We send marketing messages by email, and by text or WhatsApp only if you've separately agreed. Every marketing email has an unsubscribe link, and we honor opt-outs within 10 business days. Account and service messages, such as Mail notifications, billing notices and notices about these Terms, are part of the Services.
20.4. Our AI assistant. Nina, our WhatsApp assistant, is an AI. Its replies are general information to help you, and they can be wrong. It can't agree to anything for us, change your Account or these Terms, or approve refunds, credits or exceptions. If a reply conflicts with these Terms, your Account or what our team confirms in writing, those control. If you think a wrong answer cost you something, tell us and we'll look at it in good faith.
20.5. Notices to us. Notices from you to us must be sent to legal@primaoffices.com.
21. Cancellation, suspension and termination
21.1. You can cancel any time from your Account. No call or letter is needed. Your service continues until the end of the period you've paid for, then stops. Before it stops, give us instructions for any Mail we're holding.
21.2. Suspension. We may suspend all or part of the Services while we investigate a suspected breach of these Terms, verify your identity, or resolve a failed payment. We'll tell you why unless the law, or an investigation, prevents us.
21.3. Termination for cause. We may end your service immediately, with notice by email, if you:
- Breach these Terms, including section 6 (using your Address) or section 15 (prohibited uses)
- Fail to pay fees when due, as described in section 16.6
- Provide false or misleading information, or fail to complete verification
- Behave in an abusive, threatening or unsafe way toward our staff or others
- Or if USPS or the law requires us to stop serving you
21.4. Termination without cause. We may end your service for any reason with 30 days' notice by email. If we do, we'll refund the unused part of any period you've prepaid.
21.5. What survives. Sections that by their nature should continue after your service ends do, including sections on fees owed, the Address after closure, liability, indemnity and disputes.
22. Mail after your service ends
22.1. USPS rules don't allow you or us to file a USPS change-of-address order for the Address.
22.2. Store, then shred. USPS rules require a mail-receiving business to remail a former customer's Mail for 6 months, unless the customer tells it in writing not to. By accepting these Terms, you give us that written instruction, unless you choose remailing under section 22.3. For 6 months after your service ends, we'll accept USPS Mail that arrives for you, keep it for 30 days and then securely shred letters and flats unopened. Packages are kept for 30 days and then handled under section 9.2. Where USPS rules require something different, we'll follow them.
22.3. Remailing, if you choose it. Before your service ends, you can choose remailing in your Account or by email to legal@primaoffices.com. We'll then send the USPS Mail that arrives for you during those 6 months to the remail address on your Form 1583, in batches, generally once a week, by the least expensive suitable USPS service. You pay the new postage plus a handling fee of $15 a month, charged to your payment method on file.
22.4. Tell senders first. Before your service ends, give your new address to everyone who sends you Mail, starting with tax authorities, courts, banks and government agencies. Mail we shred under section 22.2 can't be recovered.
22.5. After the 6 months. We return USPS Mail that still arrives for you to the Post Office, as USPS rules require. Packages from carriers other than USPS may be refused from the day your service ends.
22.6. Mail we're holding. Mail we're still holding when your service ends stays available for pickup or forwarding for 30 days. After that, section 9 applies.
22.7. Your scans and photos. Download anything you want to keep before your service ends. For 90 days after it ends, we keep your scans and photos and will send you copies if you ask at legal@primaoffices.com. After that, we may delete them, except what we must keep by law.
22.8. Your mailbox number won't be given to anyone else for at least 12 months after your service ends.
23. Changes to the Address or building
23.1. We may change mailbox numbers or address formats if USPS or the law requires it. We'll tell you as early as we can.
23.2. If we can no longer provide the Services at 2125 Biscayne Blvd, we'll give you as much notice as reasonably possible and either offer a comparable address or refund the unused part of any period you've prepaid.
24. Disclaimer of warranties
24.1. Except as expressly stated in these Terms, the Services and Platform are provided "as is" and "as available." To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
24.2. We don't guarantee that the Platform will be uninterrupted, error-free or free of harmful components, or that any third party will accept the Address or any document we provide.
25. Limitation of liability
25.1. TO THE FULLEST EXTENT THE LAW ALLOWS:
- FOR ANY LOST, DAMAGED OR DELAYED ITEM, OUR LIABILITY IS LIMITED TO THE LESSER OF $100 OR THE FEES YOU PAID US IN THE 3 MONTHS BEFORE THE EVENT. WE DON'T INSURE THE CONTENTS OF MAIL OR PACKAGES; DECLARE VALUE WITH YOUR CARRIER, AND TELL US BEFORE ANYTHING WORTH MORE THAN $1,000 ARRIVES.
- OUR TOTAL LIABILITY FOR ALL OTHER CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES IS LIMITED TO THE FEES YOU PAID US IN THE 3 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.
- WE'RE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, MISSED DEADLINES OR LOSS OF DATA, EVEN IF WE WERE ADVISED THEY WERE POSSIBLE.
- WE'RE NOT LIABLE FOR LOSS, DELAY OR DAMAGE CAUSED BY USPS OR OTHER CARRIERS, OR FOR THE CONTENTS OR VALUE OF MAIL AND PACKAGES.
25.2. These limits apply whatever the legal theory, including contract, tort (including negligence) or statute. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for gross negligence, willful misconduct or fraud, or for any other liability that can't be limited by law.
25.3. Valuable items. If you want an item worth more than $1,000 handled with more protection than section 25.1 gives, tell us before it arrives. We may agree in writing to a declared value for an extra fee, or decline the item. Without that agreement, section 25.1 applies.
26. Indemnity
You agree to defend, indemnify and hold harmless Prima Services LLC and its members, managers, employees and agents from any claims, losses, liabilities, fines, penalties, costs and expenses (including reasonable attorneys' fees) arising out of:
- Your breach of these Terms
- Your use of the Address or the Services, including how you represent the Address to others
- The contents of your Mail, or items sent to you
- Your instructions to us, including forwarding, export and check deposit instructions
- Your violation of any law or the rights of any third party
We'll tell you promptly about any claim and let you take part in defending it.
27. Disputes, arbitration and class action waiver
27.1. Talk to us first. Before starting a claim, the party with the dispute must send the other a written notice describing it. Your notice goes to legal@primaoffices.com, and ours goes to your Account email. We'll both try in good faith to resolve it within 30 days.
27.2. Arbitration. If the dispute isn't resolved within 30 days, it will be resolved by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its applicable rules, including its Consumer Arbitration Rules if you're an individual using the Services mainly for personal purposes. The arbitration will take place in Miami-Dade County, Florida, or by video conference, in English, before a single arbitrator. Judgment on the award may be entered in any court with jurisdiction. If you're a business with a claim under $10,000, we'll pay the AAA filing, administration and arbitrator fees beyond what you'd pay to file the claim in court, unless the arbitrator finds the claim frivolous.
27.3. Exceptions. Either party may bring an individual claim in small claims court if it qualifies. Either party may seek a court injunction to stop misuse of the Address, the Platform or intellectual property. We may bring a claim in court to collect unpaid fees.
27.4. Class action waiver. You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective or representative proceeding. The arbitrator may not consolidate claims of more than one person. If this waiver is found unenforceable for a claim, that claim must be decided in court, not arbitration.
27.5. Opting out. You can opt out of this section 27 by emailing legal@primaoffices.com within 30 days of first accepting these Terms, with your name, Account email and a clear statement that you're opting out of arbitration. Opting out doesn't affect anything else in these Terms.
27.6. Jury trial waiver. For any dispute decided in court, you and we each waive the right to a jury trial, to the extent the law allows.
27.7. Mass filings. If 25 or more similar claims are filed against us by the same law firm or by people acting together, they'll be administered under the AAA's Mass Arbitration Supplementary Rules, and the statute of limitations is paused for claims waiting their turn.
27.8. Consumers outside the United States. If you use the Services mainly for personal purposes and live in the European Union, the United Kingdom, Switzerland or Brazil, sections 27.2 to 27.7 don't apply to you. You may bring a claim in the courts of the country where you live, and you keep the protection of the mandatory consumer laws of that country.
28. Governing law and venue
These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods doesn't apply. Subject to section 27, any court proceeding will be brought in the state or federal courts located in Miami-Dade County, Florida, and you and we consent to their jurisdiction. If you use the Services mainly for personal purposes, this choice of law doesn't take away the protection of mandatory laws of the country where you live.
29. Changes to these Terms
29.1. We may update these Terms. We'll email you at least 30 days before a material change takes effect, and post the updated Terms with a new "Last updated" date. Changes that are required by law, or that only benefit you, may take effect sooner.
29.2. If you keep using the Services after the change takes effect, you accept the updated Terms. If you don't agree, you can cancel before the change takes effect, and section 21.1 applies.
29.3. A change to section 27 doesn't apply to a dispute that either of us notified to the other before the change took effect.
30. Intellectual property and feedback
30.1. The Platform, our website, the Prima Offices name and logo, and all related content belong to us or our licensors. You may not use them without our written permission, except to use the Services as intended.
30.2. If you send us suggestions or feedback, we may use them without any obligation to you.
31. General terms
31.1. Force majeure. We aren't responsible for delays or failures caused by events beyond our reasonable control, including hurricanes, tropical storms, floods and other severe weather, building closures, power or internet outages, USPS or carrier disruptions, pandemics, government orders, labor disputes, war, terrorism or civil unrest. We'll resume normal service as soon as reasonably possible.
31.2. Assignment. You may not transfer these Terms or your Account without our written consent. We may transfer these Terms to an affiliate, or as part of a merger, acquisition or sale of our business, with notice to you.
31.3. Entire agreement. These Terms, together with your Plan description and any additional terms we show you for a specific service, are the entire agreement between you and us about the Services.
31.4. Severability. If any part of these Terms is found unenforceable, that part will be enforced to the maximum extent allowed and the rest stays in effect.
31.5. No waiver. If we don't enforce a right under these Terms, we haven't waived it.
31.6. Relationship. We act as your mail agent for the limited purposes described in these Terms. Nothing in these Terms creates a partnership, joint venture, employment or fiduciary relationship.
31.7. Language. These Terms are written in English and may be provided in translation, including in Spanish, Portuguese, French, Italian and German. If the versions differ, the English version controls, unless the law of the country where you live as a consumer requires otherwise.
31.8. Headings. Headings are for convenience only and don't affect how these Terms are interpreted.
