It's a five-minute form. That's what makes it dangerous. Nobody forgets the big things, like taxes or a lease renewal. But a short online form that comes around once a year, between the holidays and spring, is exactly the kind of thing that slips. And in Florida, slipping by one day costs $400.
Here's everything you need for the 2027 filing, in plain words. Want a nudge every January? Add the free annual report reminder to your calendar.
This is general information, not legal or tax advice. Fees can change, so check the amount on Sunbiz when you file.
What the annual report is
Sunbiz is the Florida state website where LLCs are registered. Once a year, every LLC files a short report there that confirms or updates its basic details: addresses, who runs it, its federal tax number. That's the annual report.
It isn't a tax return and it doesn't ask about money. The Florida Department of State says it plainly: annual reports don't require financial information (Department of State, 2026). Your taxes go to the IRS, the US tax agency, which is a separate world with separate deadlines.
Who has to file
Every active Florida LLC, every year. That includes LLCs owned by people who live outside the US, LLCs that did no business all year, and LLCs from other states that registered to do business in Florida (s. 605.0212).
Your first report is due in the calendar year after the one you formed the company. So if you formed your LLC at any point in 2026, your first annual report is due between January 1 and May 1, 2027. It doesn't matter whether you formed it in January or in December.
Dates and fees for 2027
These are the numbers for an LLC. Corporations file their own annual report on Sunbiz too, with a different fee, so check yours there.
- Window: January 1 to May 1, 2027.
- Fee: $138.75 for an LLC, as of October 2026. Confirm it on Sunbiz when you file.
- Late fee: $400 on top of the regular fee if you file after May 1. The state says it can't waive it (Department of State, 2025).
- Dissolution: if the report still isn't filed by the third Friday of September, Sunbiz dissolves the LLC on paper at the close of business on the fourth Friday. In 2027 that's September 17 and September 24.
One thing to watch. May 1, 2027 falls on a Saturday. Sunbiz takes filings around the clock, but don't count on a weekend grace period. File in April, or better, in January while you're thinking about it.
And if an LLC does get dissolved, bringing it back means a reinstatement filing with its own fee, plus every report you missed. Far easier to file on time.
What the report asks for
- Your principal office address (a street address) and your mailing address.
- Your EIN, the company's federal tax number from the IRS, or a note that you've applied for one.
- At least one person with authority to manage the company, with name, title and address.
- Your registered agent, the person or company that accepts legal papers for your LLC.
- An email address for notices from the state.
Most of it is already filled in from last year. Your job is to check it and fix whatever changed.
What goes public
All of it. Anyone can search your company on Sunbiz for free and see the addresses, the managers, the registered agent and an image of the report itself. Florida also treats email addresses given to the state as public records (Division of Corporations).
So the annual report is the natural moment to take your home address off the record. The mailing address and the manager's address can both be a business address, and Sunbiz's help pages even accept a P.O. box for managers (Sunbiz annual report help). We walk through each line in how to keep your home address off Sunbiz. And if you need to move an address outside the January to May window, see how to change your Florida LLC's address on Sunbiz.
How to file it, step by step
- Go to Sunbiz.org and choose the annual report filing. The whole filing happens online.
- Enter your LLC's document number. It's on your Sunbiz record and on your filing confirmation.
- Check each field. Update addresses, managers and the email address if anything changed.
- Sign by typing your name and title. You need to be someone with authority to manage the company.
- Pay the fee online by card and save the confirmation.
That's it. Once it's processed, your Sunbiz record shows the new report.
Watch out for look-alike letters
Around this time of year, many LLC owners get official-looking letters and emails offering to file the annual report for them, for a fee. You don't need them. The Department of State warns that these solicitations can be misleading, that Florida businesses don't need third-party help to file, and that every real message from the Division of Corporations carries the State of Florida seal and the Sunbiz logo (Department of State, 2026). When in doubt, go to Sunbiz.org yourself instead of clicking a link.
If you live outside Florida
The state sends its reminders by email, and other mail to the mailing address on your record. If either one goes somewhere nobody checks, you'll find out about the deadline the expensive way. Make sure the email address is one you actually read, and that your mailing address is one where someone looks at every envelope.
Where Prima fits
Prima gives your LLC a business address at 2125 Biscayne Blvd in Miami, written "2125 Biscayne Blvd, Suite 300 #" plus your mailbox number. It works as your mailing address and your manager address on the annual report, and our team receives every letter in the building so you see each envelope in the app, wherever you are. We don't file annual reports for you, and you don't need anyone to. See the business address for your Florida LLC or compare the plans.
