Maybe you moved. Maybe the lease on the little office ran out. Or maybe you finally looked up your own company and saw your apartment number sitting there for anyone to read. Whatever the reason, the address on your LLC's public record is wrong now, and you'd like it fixed without paying for the privilege.
Good news first. If you time it right, changing it costs nothing extra.
Sunbiz is the Florida state website where every LLC (limited liability company, the most common kind of small business in the US) is registered and where anyone can look one up. This guide explains how to change your LLC's addresses there, when it costs nothing extra, when it costs $50, and who else needs to hear about it. It's general information, not legal advice. Fees can change, so check the amount on Sunbiz when you file.
Which addresses you can change
Your Sunbiz record holds four kinds of address, and they don't all change the same way.
- Principal office. The street address where the business is actually run from.
- Mailing address. Where the state sends your LLC's mail. It can even be a P.O. box.
- Manager or authorized member address. Every LLC lists at least one person who runs it, with an address.
- Registered agent address. The Florida street address of the person or company that accepts lawsuits and legal papers for your LLC.
The first three are easy. The fourth has its own form and its own fee, and we'll get to it at the end.
The cheapest moment: your annual report
Every Florida LLC files a short annual report on Sunbiz between January 1 and May 1. It confirms your addresses, your managers and your federal tax number, and you file it every year even if nothing changed (annual report instructions).
Here's the useful part. The form shows your current details and lets you edit them. So if you change your principal office, mailing address or manager address while you file, it's part of the same filing. You pay the annual report fee you'd pay anyway ($138.75 for an LLC as of October 2026) and nothing more for the changes.
That's why we'd plan the switch for January if you can wait. The 2027 window opens January 1, 2027 and closes May 1, 2027. Miss it and a $400 late fee applies, which the state says it can't waive. Our Florida LLC annual report guide walks through the filing step by step.
Changing it at any other time: the amended annual report
Can't wait until January? Fair enough. If your LLC was formed before January 1 of this year, Sunbiz sends you to an amended annual report for an address change outside the annual report (update your business information). It's the same form, filed again with your new details, and it costs $50 for an LLC (LLC fees).
You file it online and pay by card. Sunbiz says the update posts within minutes.
And if you formed the LLC this calendar year? You haven't filed an annual report yet, so there's nothing to amend. The Sunbiz update page points newer companies to a separate option, so check the fee there before you file.
A manager's address has its own form
Say you only want to change the address next to your name as manager, and leave everything else alone. Sunbiz has a separate page for exactly that, called "Update the Address for Officer, Director, Manager or Designated Principal" (manager address change).
There's a catch. It only works for someone already listed on your record. Adding or removing a manager is a different job, done through the annual report or an amended annual report.
Many owners assume this line has to be a home address because it's about a person. It doesn't. Sunbiz's own help pages for the LLC annual report accept a P.O. box for managers (Sunbiz annual report help), so a business address is fine here.
Step by step during the annual report
- Go to Sunbiz.org and choose the annual report filing.
- Enter your LLC's document number. It's on your Sunbiz record.
- Change the principal office and mailing address fields. The principal office must be a street address. The mailing address can be any address where you reliably get mail.
- Check each manager and update their addresses.
- Look at the email address too. Florida treats it as a public record, so use a business email.
- Sign by typing your name and title, pay by card and save the confirmation.
Outside the window, it's the same steps with the amended annual report.
What changes, and what doesn't
Your record shows the new address once the filing posts. But the old one doesn't vanish. Sunbiz keeps images of every document you've filed, so last year's annual report, home address and all, stays viewable. That's frustrating, and nothing in the address change fixes it. It's the best argument for switching before your next filing rather than after.
The principal office deserves one more honest word. It has to be the place the business is really run from. Whether a mailbox-style address counts there is a gray area that no official Florida source settles, and we explain it in how to keep your home address off Sunbiz. The mailing and manager lines have no such problem.
The registered agent is a separate filing
If you're your own registered agent and want your address off that line too, you'll be changing the agent or the agent's office, not just an address. Sunbiz handles that with its own form and its own fee. The agent needs a Florida street address with someone there to accept legal papers during business hours. Prima doesn't offer registered agent service, so that part is with another provider.
Then tell everyone else
Sunbiz only updates the Division of Corporations' records. It says so itself, and it reminds you that other state offices, like the Florida Department of Revenue, need to be told separately (update your business information).
The big one is the IRS, the US tax agency. It doesn't read Sunbiz. To give it a new business mailing address or location, you file Form 8822-B, a short paper form. The IRS says processing usually takes 4 to 6 weeks. If the person who controls the company (the IRS calls them the responsible party) changes, the same form reports that too, within 60 days.
After that, the everyday list. Your bank, your clients' billing departments, your website footer, invoice template and email signature. It's dull work, but it's the difference between a letter reaching you and a letter going back.
Where Prima fits
Prima gives your LLC a business address at 2125 Biscayne Blvd in Miami, written "2125 Biscayne Blvd, Suite 300 #" plus your mailbox number. It fits the mailing line and the manager line on Sunbiz without any gray area, and it's a good mailing address for the IRS. Our team receives your mail in the building and you see every envelope in the app. Before we can receive mail for you, USPS (the US Postal Service) needs a short form called PS Form 1583, which you sign online with a notary on a video call, included in every plan.
So if January is your moment, set up the address in December and it's ready when you file. See the business address for your Florida LLC or compare the plans.
